PLEASE READ THESE TERMS CAREFULLY. THEY INCLUDE A BINDING ARBITRATION CLAUSE AND CLASS ACTION WAIVER (SECTION 17), A BROAD LICENSE TO YOUR CONTENT AND DATA (SECTION 6), AND IMPORTANT DISCLAIMERS AND LIMITATIONS OF LIABILITY (SECTIONS 13-15) THAT AFFECT YOUR LEGAL RIGHTS. THESE TERMS MUST BE READ TOGETHER WITH THE WONDERLY B2C END USER LICENSE AGREEMENT (EULA), WHICH GOVERNS YOUR LICENSE TO USE THE WONDERLY APPLICATION.

1. Acceptance of These Terms

These Terms & Conditions (“Terms”) form a binding legal agreement between you (“you,” “User,” or “Traveler”) and Product Savvy Consulting (“Product Savvy,” “Company,” “we,” “us,” or “our”), the owner and operator of the Wonderly group-travel application and all related websites, mobile applications, and services (collectively, the “Service” or “Wonderly”). These Terms must be read together with the Wonderly B2C End User License Agreement (“EULA”), which specifically governs your license to install and use the Wonderly application; together, these documents form your complete agreement with Product Savvy.

By creating an account, downloading, installing, accessing, or using the Service in any way, you agree to be bound by these Terms, the EULA, and our Privacy Policy, all of which are incorporated by reference. If you do not agree, do not access or use the Service.

If you are accessing the Service on behalf of a Tour Operator or other organization, separate B2B Terms & Conditions and EULA govern that use. These Terms govern your use of the consumer (B2C) features of Wonderly, and continue to apply to your personal account even if you are also a traveler under one or more Tour Operators.

2. Eligibility

You must be at least 16 years old (or the minimum age of digital consent in your jurisdiction, if higher) to create a Wonderly account. By using the Service, you represent that you meet this requirement and that you have the legal capacity to enter into these Terms. If you are located in a jurisdiction where use of location-sharing and navigation features by minors requires parental or guardian consent, you represent that such consent has been obtained. We do not knowingly allow anyone below the applicable minimum age in this Section to create or use an account, and we do not knowingly collect personal information from children below that age. If we learn that we have collected personal information from someone below the applicable minimum age without the consent required by law, we will take reasonable steps to delete that information and deactivate the associated account.

3. Description of the Service

Wonderly is a group-travel planning and navigation platform that allows Users to create profiles, discover and connect with other travelers, form groups, plan and share trips, navigate to destinations using in-app and third-party mapping services, share live location with trip participants (“Pack Radar”), and export or publish trip information. Features, availability, and functionality may change, be added to, or be removed at any time at our sole discretion, without notice and without liability to you.

4. Accounts and Registration

You must provide accurate, current, and complete information when creating your account and must keep it updated.

You are solely responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account, whether or not authorized by you.

You must notify us promptly of any unauthorized use of your account or any other breach of security.

We reserve the right to suspend or terminate any account, at any time, for any reason or no reason, including suspected violation of these Terms, at our sole discretion.

5. User Conduct

You agree not to use the Service to:

Violate any applicable law or regulation;

Harass, threaten, stalk, or endanger any other person, including through misuse of location-sharing or navigation features;

Impersonate any person or entity, or misrepresent your affiliation with any person or entity;

Upload or transmit content that is unlawful, defamatory, obscene, infringing, or otherwise objectionable;

Interfere with or disrupt the integrity or performance of the Service, including through malware, denial-of-service attacks, or unauthorized access attempts;

Use the Service in a manner that could endanger yourself or others, including disregarding traffic laws, safety warnings, or the guidance in Section 10 (Trip Planning, Navigation, and Safety) below.

We may investigate and take any action we deem appropriate, including account suspension or termination and reporting to law enforcement, in response to conduct we believe violates these Terms or applicable law.

Groups, Chat, and Social Features: Wonderly allows you to form and join Groups, participate in Group Chat, and share trip and location information with other participants you choose to interact with. You are solely responsible for your interactions with other Users. Product Savvy is not a party to, and assumes no responsibility or liability for, any dispute, disagreement, or harm arising between Users, whether arising from Group participation, in-person meetings, shared trips, or otherwise.

Location Sharing and Pack Radar: certain features (including Pack Radar and navigation location tracking) require access to your device's precise location and, where you enable them, will share aspects of your location with other trip participants according to the settings you select. You control which location-sharing features are enabled and may disable them at any time in-app, subject to the functional limitations described in Section 10. Product Savvy is not responsible for how other Users use location information you have chosen to share with them.

6. Your Content, Our Data Rights

“User Content” means any information, content, data, trip plans, routes, photographs, messages, profile information, or other material that you create, upload, submit, post, transmit, or otherwise make available through the Service.

6.1 License to Product Savvy. You retain whatever ownership rights you may have in your User Content. However, by submitting, creating, uploading, or otherwise providing User Content to or through the Service, you grant Product Savvy an irrevocable, perpetual, worldwide, royalty-free, fully paid-up, sublicensable, and transferable license to use, host, store, reproduce, modify, create derivative works from, publicly display, publicly perform, distribute, and otherwise exploit your User Content, in whole or in part, in any manner and through any media or technology now known or later developed, for any purpose we determine, including operating, providing, improving, promoting, and developing the Service, training and improving algorithms and models, generating aggregated or de-identified analytics, research, and any other business purpose, without further notice to or consent from you and without any compensation to you.

6.2 Scope of use. This license extends to all data associated with your use of the Service, including trip and route data, location history, group and chat metadata, usage and analytics data, and any other information generated through your use of Wonderly, to the fullest extent permitted by applicable law. Nothing in this Section 6 expands Product Savvy's right to process your personal data beyond what is described in our Privacy Policy and permitted under applicable data protection law (including the EU/UK GDPR and applicable U.S. state privacy laws). Where applicable law requires a specific legal basis, including your consent, for a particular use of personal data — for example, certain uses of precise location data, or the use of personal data (as opposed to de-identified or aggregated data) to train artificial intelligence models — Product Savvy will identify and rely on that basis, as further described in the Privacy Policy, rather than relying on this license alone.

6.3 Account deletion. You may delete your account at any time through the in-app account deletion flow. Deleting your account will end your ability to log in and will remove your identifying profile information from other Users' view (you will appear as “Deleted Traveler” in shared Group/Trip/Chat contexts, consistent with our account deletion process). Deleting your account does not require Product Savvy to delete, and does not revoke the license described in Sections 6.1–6.2 with respect to, User Content and data already collected, except to the extent applicable law grants you an enforceable right to erasure or deletion of specific categories of personal data (such as the EU/UK GDPR or the California Consumer Privacy Act, as amended), in which case we will honor such rights to the extent legally required for the Users to whom those laws apply, and will otherwise retain, de-identify, aggregate, or continue to use data as permitted by law. Where a legally enforceable deletion right applies to you, submitting a request through the in-app deletion flow, or contacting us using the information in Section 18, will initiate that process.

6.4 Feedback. Any feedback, suggestions, or ideas you provide about the Service may be used by Product Savvy for any purpose without compensation or attribution to you.

6.5 Public Trips. If you create a Trip that reaches “Ready” status, an anonymized snapshot of that Trip's route may automatically be published to Wonderly's Public Trips discovery feature, consistent with the anonymization rules described in-app (start/end points generalized to town-center precision; waypoints, trip type, and length shown at full precision). By using the Service, you consent to this automatic publication. Public Trips may be viewed, searched, and copied by other Users.

7. Subscription Tiers and Billing

Certain features are subject to usage limits or require a paid subscription tier, as described in-app. Paid subscriptions are billed in advance on a recurring basis through our payment processor (Stripe) and will automatically renew until cancelled. You authorize us to charge your chosen payment method for all applicable fees. Fees are non-refundable except where required by applicable law. We may change our pricing or tier structure at any time; changes will apply prospectively and, where required by law, with advance notice.

If you are located in the European Union, the European Economic Area, or the United Kingdom, applicable law may otherwise give you a 14-day right to withdraw from a distance contract for digital content or digital services. By subscribing to a paid tier and activating that tier's features, you expressly request that Product Savvy begin supplying the subscription immediately, and you acknowledge that you thereby lose your right of withdrawal once performance has begun, to the extent permitted by applicable law. If your jurisdiction does not permit this waiver by these means, we will honor your statutory withdrawal right as required by that jurisdiction's law instead.

8. Third-Party Services

The Service relies on and integrates with third-party services, including but not limited to Google Maps (mapping, directions, places, geocoding), Mapbox (offline map data), and Stripe (payment processing). Your use of these integrated features is also subject to the applicable third-party provider's own terms of service and privacy policy. Product Savvy does not control and is not responsible for the accuracy, availability, or performance of any third-party service, and disclaims all liability arising from your use of or reliance on any third-party service accessed through Wonderly.

9. Software License

Your right to download, install, and use the Wonderly application is governed by the separate Wonderly B2C End User License Agreement (EULA), which is incorporated into these Terms by reference. Please review the EULA for license grant, restrictions, intellectual property, and software-specific warranty and liability provisions.

10. Trip Planning, Navigation, and Safety — Important Disclaimers

Wonderly provides trip planning, route, mapping, and navigation features to assist you, but these features are provided for general informational and convenience purposes only. Please read this section carefully, as it describes risks inherent to any navigation or travel-planning application.

Route, map, waypoint, points-of-interest, and location data may be inaccurate, incomplete, outdated, or affected by factors outside our control (road closures, construction, weather, changes to physical locations, third-party data provider errors, or GPS/device signal limitations).

You are solely responsible for exercising independent judgment, complying with all applicable traffic laws and regulations, and evaluating road, weather, and travel conditions before and during any trip — regardless of what the Service displays or suggests.

Turn-by-turn navigation, auto-reroute, waypoint alerts, and similar features are aids, not a substitute for attentive, lawful operation of any vehicle or safe conduct of any outdoor or travel activity. Never operate a vehicle, bicycle, or other conveyance while distracted by your device.

Offline maps, downloaded map packages, and cached route data may become outdated and should not be solely relied upon in place of current, connected mapping data where available.

Pack Radar and other live-location features depend on device GPS accuracy, network connectivity, and participants' own device and app settings, and may be delayed, inaccurate, or unavailable.

Travel, hiking, cycling, driving, and other trip- and activity-related conduct carry inherent risks of injury, property damage, or death. You engage in any trip, activity, or navigation assisted by the Service entirely at your own risk.

TO THE FULLEST EXTENT PERMITTED BY LAW, PRODUCT SAVVY DISCLAIMS ALL RESPONSIBILITY AND LIABILITY FOR ANY INJURY, DEATH, PROPERTY DAMAGE, LOSS, DELAY, OR OTHER HARM ARISING FROM OR RELATED TO YOUR USE OF TRIP PLANNING, MAPPING, ROUTING, NAVIGATION, OR LOCATION-SHARING FEATURES, OR YOUR PARTICIPATION IN ANY TRIP, ACTIVITY, OR GROUP ARRANGED OR FACILITATED THROUGH THE SERVICE, WHETHER CAUSED BY INACCURATE OR OUTDATED DATA, THIRD-PARTY MAP OR NAVIGATION PROVIDER ERROR, DEVICE OR CONNECTIVITY FAILURE, ANOTHER USER'S CONDUCT, OR YOUR OWN CONDUCT.

11. Termination

You may stop using the Service and delete your account at any time, subject to Section 6.3. We may suspend or terminate your access to the Service, in whole or in part, at any time, with or without cause, with or without notice, and without liability to you. Sections that by their nature should survive termination (including Sections 6, 12–17) will survive.

12. Intellectual Property

The Service, including its design, graphics, trademarks, logos, and all content provided by Product Savvy (excluding User Content), is owned by Product Savvy or its licensors and is protected by intellectual property laws. Nothing in these Terms transfers any ownership right in the Service to you. Rights specific to the licensed Application software are governed by the EULA.

13. Disclaimer of Warranties

THE SERVICE, AND ALL CONTENT, FEATURES, AND FUNCTIONALITY MADE AVAILABLE THROUGH IT, ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. PRODUCT SAVVY DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, ERROR-FREE, OR ACCURATE, OR THAT ANY DEFECTS WILL BE CORRECTED. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, SO SOME OF THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL PRODUCT SAVVY, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR ACCESS TO OR USE OF, OR INABILITY TO ACCESS OR USE, THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT PRODUCT SAVVY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PRODUCT SAVVY'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO PRODUCT SAVVY FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (USD $100).

Some jurisdictions do not allow the limitation or exclusion of liability for certain types of damages (including liability for gross negligence, willful misconduct, or personal injury caused by negligence), so some of the above limitations may not apply to you. Nothing in these Terms limits any liability that cannot be limited or excluded under applicable law.

15. Assumption of Risk

You acknowledge and agree that participation in travel, navigation, group meetups, and outdoor or physical activities facilitated by the Service involves inherent risks that cannot be eliminated regardless of the care taken. You voluntarily assume all such risks and release Product Savvy from any claims arising from such risks, to the fullest extent permitted by law.

16. Indemnification

You agree to defend, indemnify, and hold harmless Product Savvy and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with: (a) your access to or use of the Service; (b) your User Content; (c) your violation of these Terms or the EULA; (d) your violation of any law or the rights of any third party; or (e) your participation in any trip, activity, or interaction with another User facilitated by the Service.

17. Dispute Resolution; Binding Arbitration; Class Action Waiver

Please read this section carefully — it affects your legal rights, including your right to file a lawsuit in court.

17.1 Informal resolution first. Before filing a claim, you agree to contact us (see Section 18) to attempt to resolve the dispute informally for at least thirty (30) days.

17.2 Binding arbitration. Except for claims that qualify for small claims court or claims for injunctive relief regarding intellectual property, any dispute arising out of or relating to these Terms, the EULA, or the Service will be resolved by binding, individual arbitration rather than in court, administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules then in effect. The arbitration will be conducted in the English language, in Montgomery County, Maryland, USA, unless the parties agree to a different location or a remote/virtual hearing.

CLASS ACTION WAIVER: YOU AND PRODUCT SAVVY AGREE THAT ANY ARBITRATION OR PROCEEDING WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT AS A CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE ACTION.

17.3 Opt-out. You may opt out of this arbitration agreement by notifying us in writing within thirty (30) days of first accepting these Terms, using the contact information in Section 18.

17.4 Consumers in jurisdictions that restrict mandatory arbitration. If you are a consumer habitually resident in the European Union, the European Economic Area, the United Kingdom, Switzerland, Australia, or another jurisdiction whose law does not permit a dispute with a consumer to be resolved through mandatory binding arbitration or a class action waiver, Section 17.2 and the Class Action Waiver above do not apply to you. In that case, disputes will instead be brought before the competent courts of your place of habitual residence, and nothing in these Terms deprives you of the protection of any mandatory consumer-protection provisions of the law of that jurisdiction. Section 17.1 (informal resolution) still applies to you.

18. Changes; Governing Law; Miscellaneous

We may modify these Terms at any time. If we make material changes, we will provide notice through the Service or by other reasonable means. Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms.

These Terms are governed by the laws of the State of Maryland, USA, without regard to conflict-of-law principles, except where applicable law requires application of the laws of your jurisdiction of residence. If you are a consumer resident in the European Union, the European Economic Area, the United Kingdom, or another jurisdiction that grants consumers the benefit of mandatory local consumer-protection law regardless of a contractual choice of governing law, this choice of law does not deprive you of the protection of those mandatory provisions, and you may be entitled to bring proceedings in the courts of your place of habitual residence in addition to, or instead of, the arbitration described in Section 17, to the extent Section 17.4 applies to you.

Your information may be accessed from, stored in, and transferred to countries other than the one in which you reside. Wonderly's application data is hosted in Canada; Product Savvy is organized in the United States; and certain service providers (including Stripe, Google Maps, and Mapbox) process data in the United States. Where required by applicable law, transfers from the EU/EEA/UK/Switzerland to Canada are made on the basis of the applicable adequacy decisions for that jurisdiction, and transfers to the United States or elsewhere are made subject to appropriate safeguards (such as the EU Standard Contractual Clauses or an equivalent lawful transfer mechanism), as further described in our Privacy Policy.

Product Savvy may assign or transfer these Terms, in whole or in part, including in connection with a merger, acquisition, corporate reorganization, financing, or sale of assets, without your consent. You may not assign or transfer these Terms, by operation of law or otherwise, without our prior written consent. Neither party will be liable for any failure or delay in performance (other than your payment obligations) resulting from causes beyond that party's reasonable control. We may provide notices to you by email, in-app notification, or posting on the Service, and you consent to receive notices electronically; such notices are deemed given when sent or posted.

If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any right or provision will not be deemed a waiver. These Terms, together with the EULA and the Privacy Policy, constitute the entire agreement between you and Product Savvy regarding the Service.
