End User License Agreement (EULA)

Consumer (B2C) Edition

THIS EULA GOVERNS YOUR LICENSE TO USE THE WONDERLY APPLICATION. IT MUST BE READ TOGETHER WITH THE WONDERLY B2C TERMS & CONDITIONS, WHICH GOVERN YOUR BROADER USE OF THE SERVICE, YOUR DATA, BILLING, DISCLAIMERS, AND DISPUTE RESOLUTION. BOTH DOCUMENTS TOGETHER FORM YOUR AGREEMENT WITH PRODUCT SAVVY CONSULTING.

1. Acceptance of This EULA

This End User License Agreement (“EULA”) is a legal agreement between you (“you” or “User”) and Product Savvy Consulting (“Product Savvy,” “Company,” “we,” “us,” or “our”) governing your license to install and use the Wonderly application (the “Application”). This EULA is incorporated into, and should be read together with, the Wonderly B2C Terms & Conditions (the “Terms”), which govern your broader use of the Wonderly service, your account, your data, billing, disclaimers, limitations of liability, and dispute resolution. In the event of any direct conflict between this EULA and the Terms specifically regarding the software license itself, this EULA controls; for all other matters, the Terms control.

By downloading, installing, accessing, or using the Application, you agree to be bound by this EULA. If you do not agree, do not download, install, or use the Application.

2. Eligibility

You must be at least 16 years old (or the minimum age of digital consent in your jurisdiction, if higher) to accept this EULA and use the Application. By using the Application, you represent that you meet this requirement.

3. License Grant

Subject to your compliance with this EULA and the Terms, Product Savvy grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to download, install, and use the Application on devices you own or control, solely for your own personal, non-commercial use.

4. License Restrictions

You may not:

Copy, modify, adapt, translate, or create derivative works of the Application;

Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Application, except to the extent such restriction is prohibited by applicable law;

Rent, lease, lend, sell, sublicense, distribute, or otherwise transfer any right in the Application to any third party;

Remove, obscure, or alter any proprietary notices (including copyright and trademark notices) on or within the Application;

Use the Application to build a product or service that competes with Wonderly;

Circumvent, disable, or otherwise interfere with any security-related or license-enforcement features of the Application;

Use any automated means (bots, scrapers, or similar) to access or interact with the Application without our prior written consent.

All rights not expressly granted to you under this EULA are reserved by Product Savvy and its licensors.

5. Updates

Product Savvy may from time to time provide updates, patches, or new versions of the Application. Such updates may be installed automatically, or you may be required to install them to continue using the Application. This EULA applies to all updates unless a separate license is provided with the update.

6. Third-Party Components

The Application may incorporate third-party software components, including open-source components, that are subject to their own license terms. Where required by the applicable third-party license, those terms will be made available to you (e.g., in an in-app “Licenses” or “About” screen), and such components are licensed to you under those terms, not under this EULA, to the extent of any conflict.

7. Intellectual Property

The Application, including its software, design, graphics, trademarks, logos, and all content provided by Product Savvy (excluding your own User Content, as defined in the Terms), is owned by Product Savvy or its licensors and is protected by copyright, trademark, and other intellectual property laws. This EULA does not grant you any ownership interest in the Application.

8. Termination of License

This license is effective until terminated. Your rights under this license will terminate automatically, without notice, if you fail to comply with any provision of this EULA or the Terms. Product Savvy may also terminate or suspend this license at any time, with or without cause, consistent with the termination provisions of the Terms. Upon termination, you must cease all use of the Application and, where technically feasible, delete all copies of the Application from your devices.

9. Disclaimer of Warranties (Software)

THE APPLICATION IS LICENSED “AS IS,” WITHOUT WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. PRODUCT SAVVY DOES NOT WARRANT THAT THE APPLICATION WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, SO SOME OF THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU.

Additional disclaimers regarding the broader Wonderly service (including trip planning, navigation, and location-sharing features) are set out in the Terms and apply in addition to this section.

10. Limitation of Liability (Software License)

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PRODUCT SAVVY'S TOTAL LIABILITY TO YOU ARISING OUT OF OR RELATING TO THIS EULA OR YOUR USE OF THE APPLICATION WILL NOT EXCEED THE AMOUNT YOU PAID FOR THE APPLICATION LICENSE, IF ANY. THIS LIMITATION IS IN ADDITION TO, AND NOT A REPLACEMENT FOR, THE LIMITATION OF LIABILITY SET OUT IN THE TERMS, WHICH GOVERNS YOUR BROADER USE OF THE SERVICE.

11. Export Compliance

You represent that you are not located in, under the control of, or a national or resident of any country subject to a U.S. government embargo or designated by the U.S. government as a “terrorist supporting” country, and that you are not listed on any U.S. government list of prohibited or restricted parties. You agree to comply with all applicable export and re-export control laws and regulations in your use of the Application.

12. Governing Law

This EULA is governed by the laws of the State of Maryland, USA, without regard to conflict-of-law principles, except where applicable law requires otherwise. Dispute resolution procedures, including arbitration and the carve-out for consumers in jurisdictions that restrict mandatory arbitration, are set out in the Terms and apply to disputes arising under this EULA as well.

13. Relationship to the Terms & Conditions

This EULA and the Wonderly B2C Terms & Conditions together constitute the complete agreement between you and Product Savvy regarding your use of the Application and the Wonderly service. If you have not already done so, please review the Terms, which include important provisions regarding your account, your data, billing, additional disclaimers specific to trip planning and navigation, assumption of risk, indemnification, and dispute resolution.
